These Terms of Service ("Terms") constitute a legal agreement between you (the "Merchant") and Digitize Jamaica Ltd, operating as Island Run ("we," "us," or "Island Run"). These Terms govern your access to and use of Island Run's merchant services and platform.
Please read these Terms carefully before using our services. By registering as a merchant, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy.
By registering as a merchant on Island Run, you agree to be bound by these Terms of Service. If you do not agree to these terms, you may not use our services.
You must be at least 18 years old, legally authorized to operate a business in Jamaica, possess all necessary licenses and permits, and have a valid Tax Registration Number (TRN) to become a merchant partner.
You must provide accurate, current, and complete information during registration. You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account.
Island Run charges a service fee based on your chosen plan: Island Starter (25%), Island Pro (20%), or Island Elite (15%). These fees are deducted from each transaction before payout.
All customer payments are processed through Island Run's secure payment system. We facilitate daily payouts to your designated bank account or remittance service, subject to processing times.
You are responsible for setting your own product prices. Prices must be clearly displayed and honored for all orders. You agree not to charge customers higher prices than displayed on the platform.
You are responsible for all applicable taxes, including GCT (General Consumption Tax) and income tax. Island Run will provide transaction reports to assist with tax compliance.
You must ensure all products and services meet applicable health, safety, and quality standards. Products must match descriptions and images provided on the platform.
You agree to prepare orders promptly and accurately, notify Island Run when orders are ready for pickup, package items securely for delivery, and maintain adequate inventory.
You must maintain accurate operating hours on the platform and accept orders only when you can fulfill them. Frequent cancellations may result in account penalties or suspension.
For food merchants, you must comply with all Jamaican food safety regulations, maintain proper food handling certifications, and ensure proper storage and preparation of all items.
Sell illegal, counterfeit, or prohibited items; discriminate against customers based on protected characteristics; manipulate reviews or ratings; share customer information outside the platform; use the platform for money laundering or fraud; operate without proper licenses or permits.
All content you provide (images, descriptions, etc.) must be accurate, non-offensive, your own or properly licensed, and comply with Jamaican advertising standards.
You retain ownership of your business name, logo, menu items, and content. By using Island Run, you grant us a license to display and promote your content on our platform and marketing materials.
The Island Run platform, including our technology, branding, and trademarks, is owned by Digitize Jamaica Ltd. You may not copy, modify, or create derivative works of our platform.
By joining Island Run, you consent to our use of your business name, logo, and product images in our marketing materials, website, and promotional campaigns.
You may terminate this agreement at any time by providing 30 days written notice. You remain liable for any pending orders and outstanding fees.
We may suspend or terminate your account immediately for violation of these terms, fraudulent activity, repeated customer complaints, failure to meet quality standards, or non-payment of fees.
Upon termination, your storefront will be removed from the platform, pending payouts will be processed within 30 days, and you must cease using Island Run branding and materials.
Island Run is not liable for indirect, incidental, or consequential damages arising from use of our services. Our total liability shall not exceed the fees paid by you in the preceding 12 months.
You agree to indemnify and hold Island Run harmless from any claims, damages, or expenses arising from your breach of these Terms, violation of laws, or infringement of third-party rights.
Any disputes shall be governed by the laws of Jamaica. Parties agree to attempt good-faith negotiations before pursuing legal action. Disputes shall be resolved in Jamaican courts.
We reserve the right to modify these Terms at any time. We will provide notice of material changes via email or platform notification. Continued use after changes constitutes acceptance.
